What the Bylaws Cover

Article I

Name, Purpose & Organization — mission, location, fiscal year, non-discrimination.

Article II

Board Composition & Roles — seats, current members, appointment, and the open seat.

Article III

Co-Director Authority — executive powers, operational domains, and veto rights.

Article IV

Head Coach Authority — coaching sovereignty, the firewall policy, and removal process.

Article V

Board Duties & Conduct — obligations, conflict of interest, confidentiality, and removal.

Article VI

Voting Structure — the three categories, thresholds, quorum, and full reference table.

Article VII

Meetings — quarterly schedule, special meetings, format, and minutes distribution.

Coaching is Not a Board Matter

Article IV is unambiguous: The Board of Directors has no authority over coaching decisions. Player selection, lineups, development plans, pitching rotations, game strategy, and staff selection belong exclusively to Head Coach Chris Balcom. This is foundational and cannot be modified by simple majority — changes to Article IV require a unanimous board vote.

Category I — Ordinary Business

Category II — Significant Decisions
Two-thirds supermajority  ·  4-member quorum
Annual budget, dues changes, seating or removing a board member, sponsorships over $500, bylaw amendments.
Category III — Foundational Matters
Unanimous vote  ·  All members present
Dissolution, Co-Director removal, amendments to Articles I, III, or IV.
